The Justo Company is a private equity investment company that specializes in e-commerce investments. It is an umbrella brand for a group of separate business entities that buy and sell products.
The Justo Company currently uses a syndication model although we acquire deals using our own capital first. Using our own capital, we purchase products at wholesale via brands and distributors. Then, we allow investors to invest in our inventory and receive profit share from our sales. This creates opportunities for investors to benefit from large purchase orders and economy of scale.
Every syndication involves sponsors and investors. Sponsors find opportunities, handle operations, and communicate information to investors. Investors fund projects that fit their investment criteria. People may choose to be both in a given syndication. Note that Sponsors may be called General Partners (GPs) and Investors may be called Limited Partners (LPs).
Every syndication is structured as a Limited Liability Company (LLC). Individuals make their investment in a syndication LLC which will purchase goods for resale. Goods are owned by a syndication LLC and profits pass to the LLC, which then makes distributions to investors based on the number of LLC units they own.

Rates of return are dependent on the inventory purchased through single or various purchase orders. The target holding period for every purchase order batch is to sell 2 to 6 weeks, at 30% ROI. The holding period of every syndication project is 12 months to compound profits and achieve the conservative ROI target of 168% and 334% ROI (net of fees and return of invested principal) after a one-year holding period.

We are experienced Amazon sellers and partner and consult with the best-in-class professional advisors and e-commerce operators in wholesale, arbitrage, and private label that collectively have or had over $65,000,000 in annual sales on online marketplaces, including Amazon, Walmart, eBay, and Shopify.
Rule 506B type of security is being offered. Sellers of unregistered securities are only allowed to sell to accredited investors and no more than 35 unaccredited investors, who are deemed financially sophisticated enough to bear the risks.
We buy all products via purchase orders cash with our own funds. Equity raise is for purchasing the privileges of profit share from the sales of products, which suit investor risk tolerance, goals, time horizon, etc. None of our investments are financed with debt where we pay interest.
Generally, Limited Partnership (LP) up to 40% ownership, which will be specifically detailed in the formal offering memorandum of every deal. To be able to operate efficiently and outperform the targeted return for our investors, we as the Sponsors (General Partners) will always retain 60% or more of the equity.
We use professional third party logistics (3PL) companies and prep centers that are experts in effectively receiving, preparing, and sending our products to Amazon fulfillment centers across the country. We buy enough stock of each product to sell within 2 to 6 weeks, with the intention of replenishing the products that continue to outperform our target ROI and sales velocity.

Every investment comes with risk. Historically, investments in consumer products have performed well and by far the top 5% sales ranked products (in their respective categories) sold on Amazon make a more consistent, recession-resistant investment. We are and consult with experienced e-commerce operators and our primary objective is to protect investor equity. We do thorough in-house due diligence on every product before purchasing it for resale, and continually monitor sales performance of that product, using various analytical software to reprice and optimize listings as needed to meet our targets.

Yes, you can invest as an individual, jointly with your spouse or other related person, through several different types of retirement accounts, or through an LLC, corporation, trust, or many other types of entities. However, entities must stay active throughout the 12 month holding period.

An investor’s account begins to accrue immediately upon acceptance into the deal. Currently, our deals do not support reinvestment on the same deals, as deal opportunities change. Our minimum also is $10,000. However, you may invest in other deals that may be available.
